Terms of Service

1. Acceptance of terms

By accessing or using the Arbin X platform (“Service”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these terms on behalf of yourself or your organisation.

3. Your account

• You are responsible for maintaining the security of your account credentials.
• You must promptly notify us of any unauthorised access at legal@arbinx.com.
• You may not share your account or use the Service to impersonate others.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to gain unauthorised access to any part of the platform.
• Reverse-engineer, decompile, or scrape the Service.
• Upload malicious code or interfere with platform operations.
• Post, send, or upload content that is unlawful, abusive, harassing, threatening, hateful, sexually explicit, fraudulent, or otherwise objectionable, or impersonate another person or business.

Reporting and blocking. There is no tolerance for objectionable content or abusive users. In the app you can report a user from a chat (menu → Report User) or report someone else’s post (menu → Report Post), and you can block a user from a chat (menu → Block User); blocked users’ posts are hidden from you and they can no longer message you. You can review the people you have blocked under Settings → Blocked Users. We review reports and may remove content or suspend or terminate accounts that breach these terms. 5. Your data

You retain ownership of all data you enter into the platform. By using the Service, you grant Arbin X a limited licence to store and process your data solely for the purpose of providing the Service.

6. Marketplace: professional and vendor obligations

If you register as a Professional or Vendor on the Arbin X marketplace, you additionally agree to:

• Provide accurate information about your skills, qualifications, and availability.
• Complete identity verification (NIN) before accepting bookings or listing products.
• Deliver services or goods to the standard described in your listing and agreed with the client.
• Communicate professionally and respond to client enquiries within a reasonable time.
• Not solicit clients off-platform to avoid Arbin X fees.
• Comply with all applicable Nigerian laws, including consumer protection and tax obligations.

Arbin X acts as a marketplace intermediary only. We are not a party to contracts between professionals/vendors and clients, and we are not responsible for the quality, safety, or legality of services or goods provided.

7. Dispute resolution between users

If a dispute arises between a client and a professional or vendor:

1. The parties should first attempt to resolve the issue directly through the in-app messaging.
2. If unresolved within 48 hours, either party may submit a complaint via the Arbin X support channel at support@arbinx.com.
3. Arbin X will review the complaint and relevant evidence within 5 business days and issue a non-binding recommendation.
4. If the dispute remains unresolved, parties may seek resolution through the appropriate Nigerian consumer protection body or courts.

Arbin X reserves the right to suspend accounts involved in repeated or bad-faith disputes pending investigation.

8. Fees, payments, billing, and refunds

All prices are in Nigerian Naira (₦). Card, bank transfer, USSD and mobile money payments are processed by Paystack, and Arbin X does not store your card details. Our current prices are shown on the pricing page.

8.1 Contractors

• Pay as you go: ₦20,000 per project per month, or ₦216,000 per project per year. You switch on only the projects you want to run.
• Bundles: Growth (up to 10 active projects, ₦150,000 a month), Scale (up to 25, ₦350,000 a month) and Enterprise (unlimited, ₦500,000 a month). Paying a year up front costs 10% less.
• Team members you invite do not pay.

8.2 Companies and developers

• Every feature belongs to an estate. You tell us how many units an estate has and pay for each unit per month at a flat rate of ₦4,000 per unit, however many units the estate has. Paying a year up front costs twelve months less 10%. Units you add during a paid period are charged at the same rate for the rest of that period. Infrastructure works such as roads and drainage are not units.
• Team members you invite do not pay.
• Listing an estate on the marketplace and selling units requires the estate to be verified by Arbin X (see section 9).

8.3 Professionals

• Listing a profile and portfolio is free. On the free plan you can see job requests and accept up to 2 jobs a month.
• Pro (₦9,900 a month, or ₦106,920 a year) removes the limit on jobs and shows client details on every request.
• Business (₦25,000 a month, or ₦270,000 a year) adds bidding on contracts, messaging companies on the platform first, and a boost in professional search.
• Professionals who were already subscribed before these prices took effect keep their current price for now.

8.4 Vendors

Vendors pay no subscription. Arbin X deducts a commission from the vendor's payout on each order: 5% of the first ₦3,000,000 of the goods value of the order and 3% of the part above that, or a flat 2% on staples (cement, aggregates, blocks and masonry, and iron and steel). The delivery fee is not commissioned. The buyer pays the listed price. The rate that applies to an order is fixed when the order is paid.

8.5 Renewal, annual payment and non-payment

• Monthly items renew automatically to the card you saved. We remind you before a renewal and try again if a payment fails.
• A project, estate or plan that is not paid for becomes read-only: you can still view and export your information, but you cannot add, edit or delete anything until it is paid. We do not delete your data because of non-payment. Estates that become read-only stay on the marketplace unless you unlist them.
• You may cancel at any time. Cancelling stops renewal and your access continues to the end of the period you have paid for.

8.6 Free access

Arbin X may give an account or organisation a period of free access, including the first month for new accounts. During it, charges and plan limits do not apply. When it ends, the rules above apply from that day. We email you shortly before it ends. We may end or change a free access period that was given to you in error or that is misused.

8.7 Refunds

• Subscription and billing fees are non-refundable once billed, except where required by applicable Nigerian law.
• Marketplace payments (client-to-professional or client-to-vendor transactions) may be eligible for a refund if the professional or vendor fails to deliver the agreed service or product. Refund requests must be submitted within 7 days of the agreed delivery date via our support channel.

8.8 Price changes

We will notify you at least 30 days before any change to the prices above. Continued use after the effective date constitutes acceptance of the new price. A free access period you already have is not shortened by a price change.

9. Property purchases, verified estates, and the buyer agent fee

• Contracts are between buyer and developer. When you buy from an estate through Arbin X, your contract and your payments are with the developer. Arbin X is not the seller, does not hold your money, and is not a party to the sale.
• Verification. Before an estate can be listed or sold, Arbin X checks the developer's company registration, proof of land title, that the payment account belongs to the company, and, for a developer's first listing, a site visit. Verification is a screening step, not a guarantee of title, value, quality, or completion, and you should still carry out your own due diligence. Arbin X may suspend a listing at any time, for example if the payment account changes or a concern is raised.
• Buyer agent fee. A buyer who applies through the marketplace pays Arbin X an agent fee of 5% of the property price. It falls due when the developer confirms your first installment. You pay it by bank transfer to Arbin X's account using the reference we give you and upload your proof of payment in the app, and an Arbin X administrator confirms it. Until it is paid, the developer cannot allocate your unit. The fee covers our agency services (inspection, seller vetting, property matching, project tracking and handover coordination). It is separate from, and in addition to, what you pay the developer. The fee applies only to purchases begun after we announce it, and it is not refundable once confirmed, except where required by applicable Nigerian law.
• Installments and slots. Developers set installment schedules. A slot may be reassigned if installments are not paid by their due dates, as set out by the developer.

10. Referral program

If we offer you a referral code, you earn a fixed credit for each month that a company you referred (₦10,000) or a contractor you referred (₦5,000) pays for Arbin X, for up to 12 months from the date of the referral. Credits are earned only when the person you referred subscribes or renews, and not for free access periods. We may change or end the program for new referrals at any time, and may withhold credits for self-referral, fraud or misuse.

11. Limitation of liability

To the maximum extent permitted by law, Arbin X shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability in any matter is limited to the amount you paid us in the preceding 12 months.

12. Termination

We may suspend or terminate your account if you violate these terms. You may terminate your account at any time by contacting support. Upon termination, your right to use the Service ceases immediately.

13. Changes to these terms

We reserve the right to modify these terms at any time. We will notify registered users by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance of the new terms.

14. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Lagos State, Nigeria.
